1. Acceptance of Terms

By accessing or using the website located at https://tecmie.com (the "Site") or contracting the services provided by Tecmie ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access the Site or use our services.

2. Services

Tecmie provides design, development, strategy, and automation services, including but not limited to Web3 and AI product development, web application design, and branding (collectively, the "Services"). Specific deliverables, timelines, and fees for Services will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties.

3. User Intellectual Property

Client ownership: Upon full payment of all fees, you (the "Client") shall own all right, title, and interest in the specific deliverables created for you under a specific SOW.

Background technology: Tecmie retains all rights to its pre-existing code, methodologies, design systems, and background technology used to create the deliverables. We grant you a non-exclusive, perpetual, non-transferable license to use such background technology solely as necessary to utilize the deliverables.

4. Use of the Site

You agree to use the Site only for lawful purposes. You are prohibited from:

  • Attempting to gain unauthorized access to the Site’s systems or servers.
  • Using the Site to transmit any malware, viruses, or harmful code.
  • Using any data mining, robots, or similar data gathering or extraction methods.

5. Payment and fees

For paid Services, you agree to pay the fees established in your specific SOW. Unless otherwise stated, all invoices are due upon receipt. Late payments may be subject to interest charges. We reserve the right to suspend Services for accounts that are past due.

6. Disclaimers

No guarantee of results: While we strive to deliver world-class products, Tecmie does not guarantee specific market results, funding, or user acquisition numbers resulting from the use of our designs or strategies.

"As is" basis: The Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including merchantability or fitness for a particular purpose.

7. Limitation of liability

To the fullest extent permitted by law, Tecmie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or in connection with your use of the Site or Services. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to us for the Services in the six (6) months preceding the event giving rise to the claim.

8. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
